BOARD OF DIRECTORS AND ADVISORY BOARD MEMBERS
Southern California Chapter, National Association of Corporate Directors
The National Association of Corporate Directors (NACD),www.nacdonline.org, is the premier national educational, publishing and consulting organization in board leadership and the only membership association for boards, directors, director-candidates and board advisors. NACD promotes high professional standards for board and director conduct, practice, and performance, creates forums for peer interaction, enhances director effectiveness, asserts the policy interests of directors, conducts research, and educates boards and directors concerning traditional and cutting-edge issues.
The Southern California Chapter, NACD (the Chapter), www.nacdsocal.org, was chartered by NACD to enhance corporate governance in the Southern California Region and provides a local educational and networking opportunity for individuals who serve as directors of corporations and business organizations from all industries, public and private, profit and non-profit. Our vision is to prepare members for effective Board of Director roles and foster the positive image of corporations and business organizations through improved corporate governance. The principal emphasis of the Chapter and its events is to provide vital information and education to current NACD members and their guests.
Board of Directors
Our Chapter Board of Directors is for regional leaders committed to excellence in corporate governance. Our board serves NACD members in the region, organizing educational programs and events. The role of the Chapter’s Board of Directors is to give visibility to chapter activities, and provide a leading voice to the best practices of corporate governance. The directors design and lead chapter programming, identify and secure sponsors, supporters, and attendees, and coordinate with partner organizations. The time commitment of directors is limited, with directors committing about 20 hours per year and annually attending at least three Chapter programs (lasting 1 to 2 hours each), coordinating one program, and attending as many board meetings as possible (3 or 4 per year, each lasting 1 to 2 hours). Board members are encouraged to attend the Annual NACD Conference in Washington D.C., for which the Chapter will pay their registration fee.
Board Members are asked to chair or co-chair an event or program each year. See our events page on our website for an example of our programs. The Board may have up to 20 members, and Board members serve three-year staggered terms, with a mandatory one-year respite after three terms. Exceptions to the term limits are Dann Angeloff (current Chairman) and the Deans of the Anderson and Marshall Schools of Business. The Board will have four standing committees: Membership, Programs, Sponsors and Governance. The Board will elect a President and Treasurer every two years. The Chapter’s Board of Directors and its Advisory Board join the NACD as a group, reducing the cost of NACD Membership. Board members should preferably have experience as board members.
Advisory Board
Our Advisory Board is for highly qualified regional leaders who support the Chapter’s mission, yet are unable to commit the time necessary to participate on the Board of Directors, as well as for representatives of our Chapter Sponsors. The role of the Chapter’s Advisory Board is to assist in program planning and recruiting event and program speakers and resources. The time commitment of advisors is limited to a single annual planning session with the Board of Directors each year to identify the most relevant program topics, and as a resource to the officers and the Chapter’s Program Committee in identifying compelling, relevant panel participants. Advisory Board members are appointed by the Board of Directors and will be initially limited to 30 individuals.
Southern California Events and Offerings
Attendance at Chapter programs and events (after the first few introductory programs) is strictly limited to members of the NACD, a limited number of guests and qualified prospective members, and members of the Advisory Board.
Programs, conveniently held in the early morning or evening hours, are interactive “best practices” presentations by directors, CEOs and content experts with respect to corporate governance, director duties and responsibilities, recruitment, retention, committees and compensation. The Chapter also presents and co-presents special sponsored events, such as the KPMG Audit Roundtable and USC and UCLA Business School programs, where material is presented in greater depth. NACD national provides support and materials to augment locally produced educational programs and materials that support the Chapter and NACD mission.
Southern California Chapter Considerations
Regular programs provide a forum for interaction among directors and offer opportunities for directors to develop their effectiveness as board members.
Up to six times each year, the Chapter presents timely programs of vital interest to directors. Programs include best practices panels of board members from prominent Southern California Companies, issues-programs that deal with the newest laws, rules and regulations facing corporate boards, and industry specific programs that educate boards in unique environments, such as national security, family businesses, and operational non-profits. Most programs are open only to NACD Members and their invited guests. Co-Sponsored events (twice each year) with KPMG are focused specifically on Audit Committee issues. There is nothing in the region quite like the Chapter. With a goal to provide the best and most current information available, its programs fill a valid and important regional need. Because of its unique focus, the Chapter has attracted a prestigious group of organizations and individuals that share its vision and mission and want to be part of its success.

The Chapter activities are not the only way its directors and advisors can be involved. The local and regional relationship building is an important benefit, but participants also have the opportunity to extend their influence and relationship building through national NACD communications, events and activities. You will be kept informed of all NACD activities around the country because you will receive the NACD’s regular reports from its national headquarters.

The NACD, founded in 1977 and nationally headquartered in Washington D.C., has chartered chapters across the United States, each of which is supported by local sponsorship. The Chapter, chartered in 1978, initiated its programming activity with events in 1978 and its program and sponsorship year now runs from September to June.
